What you'll be doing

We're looking for a qualified company secretary with experience as a governance professional to join the Group Secretariat.

The role supports the Head of Board Governance and Heritage in delivering board, committee and executive governance, ensuring robust and high-quality governance standards. You'll be versatile, proactive and have outstanding writing skills and be able to work quickly to deliver accurate work. A sound understanding of the overall legal and regulatory environment in which the Group operates is required and you'll be capable of providing pragmatic advice to board members and senior executives.

You’ll be a highly motivated individual with excellent organisational, influencing and communication skills with accountability for ensuring the successful operation of the meetings of the Group and subsidiary boards and committee meetings. You will be passionate about proactively delivering successful outcomes as well as raising insights and innovative ideas with others. The role holder must be confident in working efficiently and effectively with senior executives and other key stakeholders across a wide range of sensitive topics and be able to distil complex issues clearly.


You’ll get a unique and exciting opportunity to gain insight across Group Secretariat, establish relationships and play a key role in the delivery of first-class governance service to the board, board committees and executive committees, ensuring that they meet corporate governance, legal and regulatory requirements.

Key Responsibilities

  • owning the end-to-end lifecycle of Secretarial duties for specific Group and subsidiary boards and committees in respect of meetings, agendas, papers and minutes, ensuring consistency, quality and compliance

  • providing governance guidance and support to Group and subsidiary boards and committee Chairs and executive management

  • supporting the wider end-to-end corporate governance strategy, delivery and risk management requirements across Group Secretariat

  • shaping the development of key Group Secretariat activities relating to board, board committees and executive committees such as the annual Board Performance Review, including analysis of results and reporting to the board, and the review of the Corporate Governance Framework

  • leading the review, revision and finalisation of certain Group Secretariat-owned documents or narrative such as board and committee Terms of Reference or the Corporate Governance disclosures and notes within the Lloyds Banking Group Annual Report and Accounts, ensuring alignment with relevant governance codes and regulatory requirements

  • contributing excellent core corporate governance knowledge and skills across the suite of secretariat activities including and maintain a forward-looking view of governance, regulatory and best practice developments impacting the Group

  • progressing the development, review and practical implementation of governance and operational process improvements, including using technology, to drive efficiencies, innovation and continuous improvements to board, committee and executive governance

  • working with colleagues across the wider Legal & Secretariat function, including supporting the other team Heads in the delivery of adhoc / special projects, such as legal entity rationalisation

  • leading the development of junior team members through coaching and mentorship, building capability, and embedding a culture of continuous learning and professional excellence

What we’re looking for?

  • CGI-qualified with significant experience as a governance professional, including experience within a PLC, preferably in financial services;

  • Extensive experience of acting as board or committee Secretary;

  • Strong technical knowledge of the Companies Act 2006, the UK Listing, Disclosure and Transparency Rules and the UK Corporate Governance Code;

  • Excellent interpersonal skills with the ability to influence senior stakeholders and provide constructive challenge; and

  • Outstanding written communication skills, with strong attention to detail.
